Terms and Conditions for The Shift Mastermind
By purchasing and enrolling in "The Shift," a mastermind and coaching hybrid program provided by Vanessa Maria Rivera ("Mentor"), you ("Client") agree to the following terms and conditions.
1. Program Inclusions
The Shift is a high-touch 6-month mastermind and coaching hybrid that includes:
Bi-weekly group coaching calls (12 total)
Two (2) private 1:1 sessions with the Mentor
Slack support for group communication and coaching between calls (Monday–Friday)
Guest expert trainings
Templates and business resources to support implementation
Delivery is subject to change and may vary based on group needs, guest expert availability, and the evolving nature of the program.
2. Payment Terms
By enrolling in The Shift, you agree to pay the full program fee as selected during your checkout process. Options may include a pay-in-full price or monthly installment plan. Regardless of participation, all payments must be completed in full.
There are no refunds, holds, transfers, or cancellations under any circumstances, including but not limited to illness, travel, workload, life events, or changes of mind.
You agree not to initiate any chargebacks or disputes via your bank, Stripe, PayPal, or other payment processor. Doing so will constitute a breach of these terms, and legal or debt collection action may be taken to recover any outstanding balance.
3. Client Commitment & Participation
You understand that your results are dependent on your own effort, motivation, follow-through, and commitment. The Shift is a collaborative experience, and full participation is expected for optimal outcomes.
Your access to Slack, live calls, templates, and guest trainings is conditional on your payment status and conduct within the program. Failure to follow program guidelines or participate respectfully may result in removal without refund.
4. Confidentiality
You agree to maintain the confidentiality of all other participants and the content shared inside the program. This includes Slack conversations, private call replays, templates, and any proprietary strategies taught.
The Mentor agrees to maintain the confidentiality of your private coaching communications, except where required by law or agreed upon in writing.
5. Intellectual Property
All materials, templates, frameworks, call recordings, and resources provided in The Shift remain the intellectual property of Vanessa Maria Rivera. You are granted a limited, non-transferable, non-commercial license to use the materials solely for your personal business growth.
You agree not to:
Reproduce, distribute, or publicly share any program content
Modify or repurpose content for your own programs or commercial use
Record, screenshot, or disseminate any part of the live or recorded sessions without written permission
Any violation of this clause may result in legal action and immediate removal from the program.
6. Disclaimer & No Guarantees
The Shift is intended to provide strategic guidance, coaching, and business development support. The Mentor does not guarantee specific outcomes, results, income levels, or business growth. Individual success varies depending on a range of factors.
By enrolling, you acknowledge that you are fully responsible for your own progress, results, and actions.
7. Limitation of Liability
To the maximum extent permitted by law, the Mentor disclaims all warranties, express or implied. The Mentor shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or personal distress.
8. Governing Law & Dispute Resolution
This agreement is governed by the laws of the State of Florida. Any disputes arising under or related to this agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved, the matter will be submitted to binding arbitration through the American Arbitration Association in Miami, Florida.
9. Non-Disparagement
Client agrees not to make any statements, whether oral or written, that may disparage or harm the reputation of the Mentor, The Shift, or other program participants.
10. General Provisions
This agreement is the entire agreement between the parties.
If any provision is found to be invalid or unenforceable, the remainder of the agreement shall remain in full force.
This agreement may be updated periodically. Continued participation in The Shift after any updates constitutes acceptance of those changes.
By purchasing The Shift, you confirm that you have read, understood, and agreed to these Terms and Conditions in full.
